All of France Telecom's shareholders may take part in the meeting, irrespective
of the number of shares that they personally own, with each France Telecom share
held entitling them to one vote.
France Telecom employees, who only hold units in mutual funds (“France Télécom
Actions” funds), are represented at the meeting by the representatives from these
funds.
How are shareholders informed that a general meeting is going to be held?
- 35 days at least before the planned meeting date, the company must inform its
shareholders by publishing a meeting notice in the French official gazette (Bulletin
des Annonces Légales Obligatoires, BALO) and in a newspaper of legal announcements.
This notice also includes the resolutions that will be submitted to shareholders
for approval.
- 15 days at least before the meeting is to be held, a notice to attend, specifying
the agenda, is sent out to registered shareholders and simultaneously published
in the French official gazette. From this time on, shareholders will be able to
obtain documentation relative to the general meeting from the company.
- As recommended by the French securities regulator (AMF), France Telecom informs
its shareholders that a general meeting is going to be held in the press and on
the internet.
How to take part in the general meeting?
All shareholders whose securities have been registered in an account at least
three trading days before the general meeting will be able to take part in the
meeting subject to the following express condition:
- "Bearer" shareholders must present an admission card or a "certificate for participation"
delivered by their bank (facilitating access formalities when entering the general
meeting).
- For those holding their shares on a "registered" basis, they may go to the meeting
without any specific prior formalities. However, to facilitate their access and
prevent queues at the entrance to the meeting room, it is preferable to send in
a completed copy of a request for an admission card as enclosed with the notice
to attend.
Shareholders who are unable to personally attend the meeting must return the
voting form enclosed with the notice to attend to the company, which allows them
to:
- vote by correspondence,
- be represented by their spouse or another individual or institutional shareholder,
- authorize the chairman of the session to represent them, by not indicating the
name of any proxy.
To receive this correspondence voting form*, your request must be received by
the issuer at its registered office at least six days before the general meeting
date; shareholders must return the completed document to the company (using the
envelope provided), which must receive it at least one working day before the
meeting. This form is valid for all meetings convened with the same agenda. In
any case, bearer shareholders will have to send back the "voting form" and the
certificate for participation.
* We recommend that shareholders plan ahead when requesting a voting form in
order to prevent any problems with delays receiving them.
France Telecom provides its shareholders (before the general meeting) with access
to a secure, bilingual internet site ( http://gisproxy.bnpparibas.com) that enables them to: request an admission card, vote by correspondence, give
power of attorney to the chairman, or appoint their spouse or another shareholder
as proxy.
- For shareholders with shares owned on a “pure registered” basis: ensure that
you have your ID and password enabling you to consult your account on the GISNOMI
site, then connect up to the dedicated voting site and follow the instructions
shown onscreen.
- For shareholders with shares owned on an "administered registered" basis: your
ID number and password will be indicated on your invitation letter. Connect up
to the dedicated voting site and follow the instructions shown onscreen.
- For shareholders with shares owned on a "bearer" basis: get in touch with your
financial institution and ask them to provide you with a certificate for participation
(for the maximum quantity of securities held), specifying your email address.
Your ID and password will then be sent out to you by email. Connect up to the
dedicated voting site and follow the instructions shown onscreen.
How to ask written questions?
Shareholders can send their written questions 4 days before the general meeting
at the latest.
The cerficate of participation (provided by the financial intermediary) must
be attached to the letter or email.
