what is a general meeting?

It is the privileged appointment of the shareholders, wich allow them to exchange with the compay executives and to pronounce on the resolutions that are submitted to them.

Three kinds of general meetings exist:

the ordinary general meeting (OGM) is held once a year, in the six months following the close of the financial year. It allows the shareholders to pronounce on the accounts of the past year, and, if necessary, on the amount of the dividend proposed by the Board of directors. The OGM can also pronounce on the appointment of new administrators and on the current events of the Group.
the extraordinary general meeting (EGM) is held one either several times a year to make decisions dealing, in particular, with the statutes of the company or its capital.

the combined general meeting (CGM) takes place when both legal types of meetings (OGM and EGM) are held at the same moment.
